Unit Trading Policy

The following policy has been laid down by the Board of Reef Corporate Services Limited and is based on Australian law and industry guidelines. 

The policy applies to Directors and Officers (which term includes all employees) of Reef Corporate Services Limited, and extends to senior managers of the Reef Hotel Casino.

General prohibition

Directors or Officers who possess price sensitive information which is not generally available to the market are prohibited from trading in the Trust’s units, or advising or procuring any other person to trade in the Trust’s units, even if within a trading window.

  

Trading policy and trading windows

  • Directors should discuss a proposed trade in Reef Casino Trust units with the Chairman prior to any trade.  Details of any subsequent trade should be advised immediately in writing to the Company Secretary with reference to the prior discussion.
  • Officers should discuss a proposed trade in Reef Casino Trust Units with the Company Secretary or, in his absence, the Chairman prior to any trade.  Details of any subsequent trade should be advised immediately in writing to the Company Secretary with reference to the prior discussion.
  • Unless there are unusual circumstances, Directors and Officers should avoid seeking approval to trade in Reef Casino Trust units except during the following periods.
  • (i) in the period up to one month after the lodgement of the Reef Casino Trust half year and annual profit announcements with the Australian Securities Exchange,
  • (ii) in the period up to one month after the holding of the Reef Casino Trust Annual General Meeting.

 

Directors and officers should advise the Chairman or Company Secretary of any arrangements concerning their units that they have entered into which may have a material impact of the orderly trading of trust units.

Directors should avoid entering into arrangements concerning their unitholding which could potentially cause them to be in breach of this policy.

  

Other listed entities’ securities

 

Directors and Officers should also apply this policy when trading in publicly traded securities in outside entities about which they may gain inside information by virtue of their position with the Trust.
